Join us as AFA legal counsel Liz Craddock and Rob Carothers provide an update on several key state-level legislative and regulatory proposals that would have a significant impact on the factoring industry, including:

• The California Department of Financial Protection and Innovation has issued a proposed rulemaking that would impose additional regulatory reporting requirements on factors and would authorize the Department to take action to prevent unfair, deceptive or abusive practices by factors.
• The New York Department of Financial Services has recently issued its final rule implementing commercial finance disclosures and we will provide an overview of the final rule.
• Several additional states have introduced legislation to impose commercial finance disclosures.

We will also discuss the AFA’s plans to push for federal legislation that would preempt state commercial finance disclosure laws and create a uniform federal law that factors are better able to comply with, and we will provide an update and overview of the upcoming AFA Washington D.C. Fly-in.

In 2018, California became the first state to pass a commercial finance disclosure law (CDL) requiring certain commercial finance companies, including factoring companies, to make consumer-style disclosures to financing recipients. After years of regulatory delay, revisions, and comment periods, the California Department of Financial Protection and Innovation released its final regulations implementing the CDL in June. Critically, factors and other commercial finance companies must come into compliance by December 9, 2022. This short timeline, paired with a specific and complex set of regulatory requirements under the new regulation, means that compliance will require a substantial amount of time, effort, and resources for anyone entering factoring agreements with California businesses. These difficulties are compounded for factoring companies, who have to comply with additional requirements in order to determine the “APR.” Join Bradley attorneys Alex McFall and Christopher Friedman as they provide practical advice to factors about how to come into compliance with these new requirements.

SBA Subordinations – Update on AFA action items with the SBA and status of the approved uniform SBA subordination agreement. Important provisions that Factors have been asking for and what accommodations the SBA has agreed to in favor of Factors will be discussed. These changes are all reflected in the SBA’s revised standardized subordination agreement.
